1. Agreement to Terms

By engaging MCD-Digital services, you agree to be bound by these Terms of Service. These terms apply to all services including outright website purchases (Own It) and Website as a Service (WaaS) subscriptions.

2. Our Services

We provide custom web development services through two models:

  • Own It (Outright Purchase): Full website ownership from day one. Starting at £1,500 | €1,740. Includes custom design, development, and 30-day bug fixes. Optional ongoing support available at £100 | €115 per month.
  • Subscribe (WaaS): Website as a Service subscription. Starting at £150 | €175 per month plus £250 | €290 setup fee. Includes hosting, security, unlimited edits, and ongoing maintenance. 12-month minimum commitment.

All projects include custom design, mobile optimisation, SEO foundation, and 7-10 day turnaround. Specific deliverables are outlined in your project agreement.

3. Cooling-Off Period (UK Clients)

All UK contracts include a mandatory 14-day cooling-off period with full refund rights, in accordance with the Consumer Contracts Regulations 2013.

  • Initial discovery and consultation occurs during this period
  • Significant development work commences after the cooling-off period
  • You may cancel within 14 days for a full refund of any payments made
  • If you request work to begin immediately, you may be charged for services already provided upon cancellation

4. Payment Terms

Payment terms vary by service model:

  • Own It: 50% deposit to commence work, remaining 50% due before launch. Full ownership transfers upon final payment.
  • WaaS Subscription: Setup fee plus first month due to commence. Subsequent payments billed monthly in advance on the same date each month.
  • Optional Support (Own It clients): Billed monthly in advance if selected.

All prices are displayed in both GBP (£) and EUR (€). Invoices are due within 14 days of issue unless otherwise agreed. Late payments may result in service suspension.

5. Ownership & Intellectual Property

Ownership varies by service model:

  • Own It: Full ownership of all custom code, design files, and assets transfers to you upon final payment. You receive source code and can host anywhere.
  • WaaS Subscription: During subscription, we retain ownership to ensure continuity of service. After 24 months of continuous subscription, ownership may transfer upon request (subject to settlement of any outstanding balance). Alternatively, you may purchase outright at any time.

Third-party assets (stock images, fonts, plugins) are subject to their respective licenses.

6. What's Included

All projects include:

  • Custom website design with unlimited revisions during build
  • Mobile-optimised, responsive development
  • SEO foundation and performance optimisation
  • 7-10 day turnaround from discovery to launch

WaaS subscriptions additionally include:

  • Domain registration and hosting
  • SSL certificates and security monitoring
  • Regular backups
  • Unlimited content edits (within 24 hours)
  • Ongoing maintenance and updates

Services do not cover: new feature development beyond original scope, third-party service outages, or issues caused by client modifications to managed systems.

7. Client Responsibilities

You agree to:

  • Provide content, images, and information required for your website in a timely manner
  • Ensure you have rights to all content provided
  • Maintain accurate billing information
  • Not attempt to modify managed systems without prior agreement (WaaS clients)
  • Notify us promptly of any security concerns or issues

8. Cancellation & Termination

Cancellation terms:

  • Own It (before completion): Non-refundable deposit covers work completed. Remaining balance not due.
  • WaaS (within minimum term): Early termination requires settlement of remaining minimum term balance.
  • WaaS (after minimum term): Cancel with 30 days written notice; service continues until end of paid period.
  • Website Handover: Upon cancellation and settlement of any outstanding balance, we will provide website files and assist with migration where applicable.
  • Data Retention: Website content retained for 30 days post-cancellation, then securely deleted.

We reserve the right to terminate services for non-payment, breach of terms, or use of services for illegal purposes.

9. Limitation of Liability

Our liability is limited to the value of fees paid in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages including lost profits, business interruption, or data loss. We do not guarantee uninterrupted service or that websites will be error-free.

10. Confidentiality

We treat all client information as confidential. We will not disclose your business information, website credentials, or project details to third parties without your consent, except where required by law or necessary to provide services (e.g., hosting providers).

11. Governing Law

For UK clients, these terms are governed by the laws of England and Wales. For Ireland clients, these terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction.

12. Changes to Terms

We may update these terms from time to time. Significant changes will be communicated to active clients via email. Continued use of services after changes constitutes acceptance of updated terms.
